Terms of Service

These terms are an agreement between you and Smart Layer LLC (“we”, “us”) for your use of SmartLayer (the “service”). By creating an account or using the service, you agree to them.

1. The service

SmartLayer is an online application that lets you upload data files and ask questions about them in plain language. It responds with charts, tables, dashboards and written analysis generated with the help of AI models. We may improve or change features over time.

2. Your account

  • You must be at least 18 years old and give accurate information when you sign up.
  • You are responsible for keeping your password secure and for activity under your account.
  • Tell us right away at [email protected] if you suspect unauthorized use.

3. Free trial

New accounts receive one free trial of 24 hours with a limited token allowance. No payment details are required and you are not charged for the trial. When it ends, AI features pause until you subscribe to a paid plan.

4. Subscriptions, billing and usage limits

  • Paid plans are billed monthly in advance in US dollars through our payment processor, Stripe, and renew automatically until cancelled. Prices are shown on our pricing page, and applicable taxes may be added.
  • Each plan includes a monthly token allowance. When you reach it, AI requests pause until your next renewal or until you upgrade. Unused tokens do not carry over.
  • If we change a plan’s price, we will tell you by email at least 30 days before the change applies to your subscription.
  • Cancellations and refunds are covered by our Refund & Cancellation Policy.

5. Your data

  • You keep all rights to the files you upload and the results generated from them.
  • You give us permission to store and process your data only as needed to provide the service to you, including sending it to the AI providers described in our Privacy Policy.
  • You confirm you have the right to upload the data. Do not upload payment card numbers, government ID numbers, health records or other sensitive personal information.

6. AI-generated results

Results are produced automatically and can be incomplete or wrong. Check important numbers before relying on them. The service does not provide financial, legal, tax or other professional advice.

7. Acceptable use

You agree not to:

  • break the law or infringe anyone’s rights through the service;
  • attempt to access other users’ data or interfere with the service’s security or operation;
  • resell or share your account, or use automated means to exceed your plan’s limits;
  • reverse engineer the service or use it to build a competing product.

8. Legal and export restrictions

You may not use the service if you are located in a country subject to comprehensive US sanctions or are on a US government restricted-party list. You are responsible for complying with the export and data laws that apply to the data you upload.

9. The SmartLayer library

A subscription gives you access to the hosted application only. It does not grant any right to use, copy or embed SmartLayer’s source code or npm library, which are available under a separate written license. Contact us to discuss one.

10. Our intellectual property

The service, including its software, design and branding, belongs to Smart Layer LLC. These terms do not transfer any of it to you.

11. Suspension and termination

You can close your account at any time. We may suspend or close accounts that break these terms, after notice where reasonable. On closure, you can ask us to export or delete your data as described in the Privacy Policy.

12. Disclaimers

The service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including fitness for a particular purpose and uninterrupted availability.

13. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

14. Changes to these terms

We may update these terms. For material changes, we will update the date above and email subscribers before they take effect. Continuing to use the service after that means you accept the new terms.

15. Governing law

These terms are governed by the laws of the State of Georgia, USA.
